Terms of Service

By accessing or using the Safar Clinical website and platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and Safar Clinical, Inc. ("Safar," "we," "us," or "our").

Safar provides an AI-powered clinical trial matching platform that:

• Ingests and analyzes electronic health record (EHR) data
• Scores patient eligibility against clinical trial protocols
• Routes pre-qualified candidates to appropriate clinical trial sites
• Provides dashboards, analytics, and workflow tools for sponsors, CROs, and sites

Our Services are intended for use by clinical research professionals and authorized healthcare organizations.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent and warrant that you meet these requirements.

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information as necessary
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable regulations
• Access or attempt to access another user's account
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Transmit any malicious code, viruses, or harmful content
• Use the Services to discriminate against patients or violate patient rights
• Scrape, harvest, or collect data from the Services without authorization

All content, features, and functionality of the Services — including software, algorithms, text, graphics, logos, and trademarks — are owned by Safar Clinical and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to modify, distribute, or create derivative works.

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

For clinical trial data and PHI, additional terms may apply under your Business Associate Agreement (BAA) or Data Processing Agreement (DPA) with Safar.

Users are responsible for ensuring their use of the Services complies with all applicable laws and regulations, including but not limited to:

• HIPAA (Health Insurance Portability and Accountability Act)
• FDA regulations including 21 CFR Part 11
• GCP (Good Clinical Practice) guidelines
• State and local privacy laws
• International regulations (GDPR, where applicable)

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Safar does not warrant that the Services will be uninterrupted, error-free, or completely secure.

Safar's AI-powered matching and scoring are tools to assist clinical research professionals. They do not constitute medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the responsibility of qualified healthcare professionals.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFAR CLINICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. Our total liability shall not exceed the amount you paid to Safar in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Safar Clinical and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

We may suspend or terminate your access to the Services at any time, with or without cause, upon notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately, though certain provisions of these Terms survive termination.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website. Continued use of the Services after modifications constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
